The OERA (Operational Efficiency & Exit Readiness Audit)
A 150-minute, high-velocity inspection conducted with the Founder and 2iC. It is designed to move beyond anecdotal performance and surface the empirical data required for an optimal exit. The audit scores the business across a clinical spectrum, from The Founder Trap (0) to Institutional Grade (5), identifying the structural "Institutional Debt" that causes sophisticated buyers to re-trade or walk away.
The Inspection Framework: Technical Data Vectors
The OERA interrogates four critical sectors, extracting forensic evidence to determine the asset’s independence from its creator.
1. DNA Extraction & Logic Portability
Evaluation focuses on whether the business intelligence is a transferable asset or a non-portable personality trait.
The Data Audit: Identification of "The Secret Sauce" and "Decision Logic" triggers.
Forensic Benchmark: Assessment of the 2iC’s ability to execute during a Tier-1 crises (e.g., ransomware or business outages) without founder intervention. The audit looks for a 12-month roadmap backed by a Priority Scorecard rather than heuristic "gut feeling."
2. 2iC Sovereignty & Authority Boundaries
An interrogation of leadership redundancy to determine if the 2iC is a Sovereign Leader or a high-level assistant.
The Data Audit: Verification of the Digital Blackout Test and "Back-Channeling Integrity."
Forensic Benchmark: Inspection of the Delegation of Authority. Evidence must confirm the 2iC’s power to commit significant capital or terminate high-performing but toxic staff without external permission.
3. The AI Shield & Operational Velocity
Evaluation of IP protection and the automation of "Human-Repeatable" friction.
The Data Audit: Audit of Shadow IT and Private Infrastructure.
Forensic Benchmark: Verification of a Private, Non-training LLM instance secured behind a corporate firewall. The audit indentifies the three most expensive "Human-Repeatable" tasks and calculates the Time-Saved Metric to prove efficiency over traditional competitors.
4. Exit Evidence & VDR Latency
Proving the asset value is "Mathematically Undeniable" to a forensic accountant.
The Data Audit: Review of the Add-back Register (EBITDA Normalisation), IP Chain of Title, and Change of Control clauses.
Forensic Benchmark: VDR Latency Test, measuring the precise duration required for the 2iC to populate a Virtual Data Room with 90% accuracy in response to a Request for Information (RFI).
The Deliverable: The Hardening Roadmap
The audit concludes with the issuance of the OERA Scorecard and a Hardening Roadmap. This technical specification identifies specific "Value Leaks" across Corporation Management, Staffing, and Financials, providing the blueprint for the installation of the Sovereign Engine.
